  34. Scarlet Software Licence Agreement
  35.  
  36. This Agreement will govern your use of the Scarlet Software 
  37.  software products contained in this package. Please read
  38.  the following terms carefully before using the product.
  39.  
  40. Grant of licence. Scarlet Software, Thomas House,
  41.  Hampshire International Business Park, Crockford Lane,
  42.  Chineham, Basingstoke, Hampshire, UK RG24 8WH 
  43.  (called "Scarlet" in this Agreement) hereby
  44.  grants you, and you accept, a limited licence subject to
  45.  the terms and conditions contained herein to use the
  46.  software recorded on the enclosed CD-ROM  (called "the 
  47.  Software" in this Agreement). You may only use this
  48.  Software on a single computer, on its temporary
  49.  replacement, or on a subsequent computer. If you wish
  50.  to use the Software on more than one computer, you must
  51.  purchase an additional copy of the Software. The Software
  52.  is "in use" on a computer when it is resident in memory
  53.  (i.e., RAM) or installed on the hard disk (executable
  54.  and other files) or other storage device. You may not
  55.  either temporarily or permanently transfer or sub-licence
  56.  your rights to use the Software under this Agreement
  57.  without the prior written consent of Scarlet.

  59. Use. You acknowledge that the rights to the Software and
  60.  the User Manuals and other related materials are the sole
  61.  and exclusive property of Scarlet and it's licensors. You may not alter,
  62.  merge, modify or adapt this Software in any way including
  63.  disassembling or decompiling. By accepting this Agreement,
  64.  you do not become the owner of the Software, but you do
  65.  have the licence to use the Software in accordance with
  66.  the Agreement. You agree to use your best efforts and to
  67.  take all reasonable steps to protect the Software from
  68.  unauthorised use, illegal reproduction or illicit
  69.  distribution. You may not loan, rent, lease or licence
  70.  this Software or any copy.

  72. Copyright. All intellectual property rights in the Software
  73.  and user documentation are owned by Scarlet or its
  74.  suppliers and are protected by United Kingdom copyright
  75.  laws, other applicable copyright laws and international
  76.  treaty provisions. Scarlet retains all rights not
  77.  expressly granted.

  79. Limited Warranty. Scarlet warrants that the Software will
  80.  substantially conform to the applicable user documentation.
  81.  Furthermore Scarlet warrants for a period of ninety (90)
  82.  days from the effective date of this Agreement that, under
  83.  normal use, the material of the CD-ROM and the user
  84.  manual(s) will not prove defective; and that the user
  85.  manual(s) are substantially complete and contain all of the
  86.  information which Scarlet considers necessary for the
  87.  use of the Software. If during the ninety-day period, a
  88.  defect in the Software should appear, you may return the
  89.  Software to Scarlet for replacement without charge.
  90.  Your sole right with respect to a defect in the Software
  91.  is replacement of the Software. Scarlet does not
  92.  warrant, that the contents of this package meets your
  93.  expectations and that the Software runs properly under
  94.  all circumstances.

  96. Except for the limited warranty provided in this paragraph,
  97.  there are no warranties, conditions, or representations
  98.  either express or implied by statute, common law or
  99.  otherwise, and all such warranties, conditions and
  100.  representations are expressly disclaimed.

  102. Limitation Of Liability. You agree that regardless of the
  103.  form of any claim you may have, Scarlet's liability
  104.  for any damages to you or to any other party shall not
  105.  exceed the amount paid by you for the Software. Scarlet
  106.  will not be responsible for any direct, indirect,
  107.  special, incidental, cover or consequential damages,
  108.  such as, but not limited to, loss of profits resulting
  109.  from the use of the Software or arising out of any
  110.  breach of the warranty, even if Scarlet has been
  111.  advised of the possibility of such damage.

  113. Termination of the Agreement. If any terms and conditions
  114.  of the Agreement are broken, Scarlet has the right
  115.  immediately to terminate in writing the Agreement and
  116.  demand that you return the Software to Scarlet. At
  117.  that time, you must also certify in writing that you
  118.  have not retained any copies of the Software.

  120. Governing Law. This Agreement is to be governed by and
  121.  interpreted in accordance with the Laws of England.
  122.  Any terms or conditions of this Agreement found to
  123.  be unenforcable will be deleted, but will not affect
  124.  the remaining terms and conditions of this Agreement.

  126. PLEASE NOTE: In order to receive technical support and
  127.  notification of product upgrading and enhancements,
  128.  please complete and return the accompanying
  129.  registration card.
